FROM: Sign Language Resources, Inc. SUBJECT: Confidential Disclosure Agreement DATE: ___________When working as a Sign Language interpreter/sub-contractor for Sign Language Resources, Inc. (SLR), you may be placed on assignments at various locations of the International Business Machines Corporation (IBM), providing Sign Language interpreting for Deaf employees information relative to IBM unannounced products. This disclosure of IBM Confidential Information requires SLR to ensure that you will maintain confidentiality related to any and all information. Thus, we are hereby requesting that you enter into the following Agreement with its terms and conditions:
1) For purposes of this Agreement, IBM Confidential Information shall mean all information disclosed by IBM to the SLR Sign Language interpreter/sub-contractor or obtained by SLR interpreter/sub-contractor from IBM which relates to IBM research, development, or business activities, including but not limited to the interpretation of verbal specifications for information relative to unannounced products.
2) With respect to information disclosed verbally or visually, the SLR Sign Language interpreter/sub-contractor agrees that all information provided verbally or visually of interpretation services will be protected as "IBM Confidential" pursuant to this Agreement and in accordance with the Registry of Interpreters for the Deaf, Inc. (RID) Code of Ethics, attached to and made a part of the Agreement.
3) The SLR Sign Language interpreter/sub-contractor shall not disclose to any person or use such IBM Confidential Information for any purpose other than to perform the service under this Agreement.
4) The SLR Sign Language interpreter/sub-contractor shall not make any copies of IBM Confidential Information. If copies are necessary, the SLR Sign Language interpreter/sub-contractor shall request them from the IBM Purchasing Representative via SLR.
5) Upon termination or expiration of this Agreement, the SLR Sign Language interpreter/sub-contractor shall return to IBM, via SLR, all materials which contain IBM Confidential Information. In the event that the SLR Sign Language interpreter/sub-contractor is provided with written material which contains IBM Confidential Information, the SLR Sign Language interpreter/sub-contractor agrees to return such material to IBM, via SLR, on termination or expiration of this Agreement.
6) This Agreement shall begin as of ________, and continue for a two-year period provided; however, either party shall have the right to terminate this Agreement upon ten days prior written notice.
7) This Agreement shall be construed in accordance with the law of the state of New York.
8) This Agreement may only be modified by an amendment signed by both parties.
If the above terms and conditions are acceptable to the interpreter /sub-contractor, you are requested to indicate acceptance thereof by signing and returning one copy of this Agreement to SLR.
