WHEREAS, Sign Language Resources, Inc. (hereinafter referred to as ("SLR") as owner, is engaged in the business of providing Sign Language/English interpreters to area businesses, courts, government entities, and educational institutions,...; and

WHEREAS, the subcontractor herein desires to provide Sign Language/English interpreters/interpretation to SLR; and

WHEREAS, it is the parties’ intent that the subcontractor shall indemnify and save SLR harmless from any and all liability, suit and cost of every kind and description and from any and all damages of any nature whatsoever to which SLR may be subjected to by reason of injury to the person and/or property of any third party resulting from the acts or omissions of the subcontractor;

IT IS HEREBY AGREED AS FOLLOWS:

That the Subcontractor shall indemnify and save harmless the Owner, SLR, its officers, agents and servants against and from any and all liability, suit and/or cost of every kind and description and from any and all damages of any nature whatsoever to which SLR or any of its officers, agents or servants may be subjected to by reason of injury to the person and/or property of any third party resulting from the Subcontractor's performance on the project, or from the negligence of the Subcontractor and/or due to the Subcontractor’s failure and/or inability to maintain Workers’ Compensation, Liability and/or Disability Insurance; and the Subcontractor shall further defend, indemnify and save harmless SLR, its officers, agents and servants from all suits and/or actions of any kind or description which may be brought or instituted by any other party who has performed work for the Subcontractor on the project or as a result of the Subcontractor’s failure and/or inability to maintain Workers’ Compensation and/or Disability Insurance. Monies due to the Subcontractor under and/or by virtue of this contract, may be retained by SLR in an amount deemed necessary by SLR, and held until such action, claim and/or suit shall have been settled and documentary evidence to that effect furnished to SLR. It is understood and agreed, however, that SLR hereby assumes no obligation toward such claimants, nor in any way undertakes to pay such claims out of any funds due or that may become due to the Subcontractor or out of its own funds.
